1. Acceptance of Terms of Use and Amendments.

Hardware & Third-Party Service Disclaimer

1. Scope of Sale

Radioworx (the "Company") is a supplier of radio hardware and a reseller of third-party connectivity and software services. By purchasing or using equipment supplied by the Company, the Customer acknowledges that the operational functionality of the product is dependent on third-party providers over which Radioworx has no control.

2. Connectivity & SIM Card Services (Simbase)

Connectivity is provided via Simbase and its global roaming partners.

• No Guarantee of Coverage: Radioworx does not guarantee 100% network availability or signal strength in any specific geographic location. Service is subject to cellular "black spots," atmospheric conditions, and network provider maintenance.

• Service Interruptions: Radioworx is not liable for any service outages, network latency, or data transmission failures caused by Simbase or the underlying Mobile Network Operators (MNOs).

• Network Changes: The Company is not responsible for any changes in network technology (e.g., the switching off of 2G/3G/4G bands) or carrier-specific restrictions that may affect device performance.

3. Software & Platform Providers (Zello / RealPTT / Others)

Our devices are designed to run third-party Push-to-Talk (PTT) applications.

• Platform Responsibility: Radioworx is not responsible for the uptime, security, or functionality of these platforms. Any account suspensions, server downtime, or software bugs are the sole responsibility of the respective platform provider.

• Incompatibility: We are not liable if a third-party software update renders a device or service feature incompatible or non-functional.

4. Critical Communications Warning

Radioworx 4G/PoC devices are not "Life-Safety" devices. They rely on commercial cellular networks and the public internet. They should not be used as the primary or sole means of communication in "Mission Critical" or life-threatening situations where a delay or failure in communication could result in injury, death, or significant property damage. The Customer accepts all risks associated with using these devices for professional or emergency coordination.

5. Limitation of Liability

To the fullest extent permitted by English Law, Radioworx shall not be liable for any direct, indirect, or consequential loss, including but not limited to loss of profit, loss of business, or operational delays arising from:

1. Failure of the Simbase connectivity service.

2. Failure or downtime of the PTT software platform.

3. Lack of cellular coverage in the Customer's area of operation.
